NOTICE: These Terms contain a binding arbitration clause and a class action waiver. By accessing the Movie Token Platform, you agree to resolve disputes through individual arbitration.

1. Acceptance of Terms

By accessing or using the Movie Token platform ("Platform"), operated by Avakian Studios Inc., a Delaware Corporation ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not access the Platform.

2. The Platform Services

Movie Token provides a technology interface for the management of Intellectual Property (IP) and Real World Assets (RWA) via the Hedera Hashgraph network. We are a technology provider, not a broker-dealer, investment adviser, or exchange.

3. Eligibility & KYC

Access to certain features, including the purchase of "Pioneers" or "Project" tokens, is restricted to verified users who complete Know Your Customer (KYC) and Anti-Money Laundering (AML) checks via our partner, DigiShares/KoreID.

You must be at least 18 years old.
You must not be a resident of a restricted jurisdiction (e.g., North Korea, Iran).
U.S. investors must verify accredited status for Regulation D offerings.

4. Risk Disclosure

Blockchain Risk: Transactions on Hedera Hashgraph are irreversible. You are solely responsible for the custody of your private keys. The Company is not liable for funds lost due to wallet compromise or user error.

Investment Risk: Tokens represent rights to future variable revenue. There is no guarantee of profit. Film projects are high-risk ventures that may result in the total loss of capital.

5. Intellectual Property

"Movie Token", "MTdb", and associated logos are trademarks of Avakian Studios Inc. Use of the Platform does not grant you any rights to our intellectual property or the underlying IP of the film projects, except for the specific contractual rights attached to purchased tokens.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". AVAKIAN STUDIOS INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

7. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles.
